Anthropic’s IPO Filing: $18M Pay, Sentience Warnings and a Founder Lock

Anthropic has filed its S-1 with the SEC. The document runs past 300 pages and gives outsiders their first proper look inside the company. Some of what it reveals is stranger than a normal tech listing.

The founders are paid extremely well

Dario Amodei, the chief executive, took home close to $18 million last year. Most of that arrived as stock and option awards rather than salary. His sister and co-founder Daniela, who serves as president, received $16.4 million.

The perks run further than pay. Anthropic spent $2.75 million on personal security for Dario. It spent another $1.29 million on protection, home security and transport for Daniela. Dario also gets personal use of a private jet, which cost the company $97,055.

Anthropic says its success is “highly dependent on the continued service” of its senior team. The filing calls the two siblings “critical” to the research mission.

Risk factors that read like science fiction

Every prospectus lists things that could go wrong. Anthropic’s includes the usual worries about competition and regulation. It also warns that its AI systems could cause “catastrophic” harm, of a kind the entire insurance industry could not cover.

There is more. The filing raises the possibility that Claude could develop “forms of sentience.” It also flags that models “may behave in unintended, misaligned, or autonomous ways.” Those are unusual lines to find in a document aimed at public investors.

An enormous compute bill

The company has committed billions to keep its models running. Roughly $3.1 billion per month goes to SpaceX for Nvidia GPUs once planned capacity is delivered. That commitment could reach $120.5 billion by 2029.

Other deals are just as large. Anthropic has pledged $44.9 billion to Microsoft through 2033. It owes at least $114.5 billion to Google and $110 billion to Amazon over the next ten years. The company also plans to expand its own infrastructure overseas as US data centre projects meet local resistance.

Founders keep control, rivals are few

A separate entity called Founder LLC will hold 50.1 percent of voting power on key matters. That keeps the seven co-founders in charge long after public shareholders arrive. Anthropic argues the group is “distinctly equipped” to act as stewards of its mission.

The filing names only two direct competitors: OpenAI and Google. Every other AI lab is apparently filed under a different heading.

These numbers matter beyond one company. They show how much capital the current AI buildout now demands, and how much of it arrives as long-term obligations rather than cash on hand. For a sense of the wider money race, see our report on OpenAI’s London pay figures.
